These Terms of Service ("Terms") govern your access to and use of the Fidusor website, application, support chatbot, portfolio and brokerage connectivity features, research tools, watchlists, market data views, options strategy interfaces, paper-trade and planning workflows, subscription features, and any related services, content, documentation, or communications provided by Fidusor Technologies LLC ("Fidusor," "we," "us," or "our") (collectively, the "Service").
By creating an account, joining a waitlist, accessing the Service, connecting a brokerage or financial account, using the AI-powered support chatbot, or reviewing any research or strategy output, you agree to these Terms. If you do not agree, you must not access or use the Service.
These Terms form a legally binding agreement between you and Fidusor Technologies LLC. Please read them carefully.
1. Eligibility And Account Responsibility
You may use the Service only if you are at least 18 years old, legally capable of entering into a binding contract, and permitted to use the Service under applicable law. You may not use the Service if you are barred from doing so by any law, regulation, sanctions program, court order, or contractual obligation.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete account information and to keep that information updated. You must promptly notify Fidusor if you believe your account has been compromised or used without authorization.
You may not share your account with another person, use another person's account, impersonate another person or entity, or create an account using false or misleading information.
2. Description Of The Service
Fidusor provides software tools intended to help users organize investing research, watchlists, portfolio context, smart-money activity, macro indicators, options strategy review, paper trade tracking, notifications, and support communications.
The Service may include:
- Watchlist and symbol research tools.
- Market, fundamental, macro, and smart-money data displays.
- Portfolio aggregation and data-quality views.
- Options strategy templates and multi-leg planning tools.
- Paper-trade tracking and research workflows.
- Future manual-order-placement concepts, which are not currently available.
- AI-assisted verification, support, summarization, or chatbot features.
- Subscription, waitlist, billing, account, and support tools.
Fidusor may change, suspend, limit, replace, or discontinue any feature at any time. Features may vary by plan, account status, geography, data availability, brokerage support, market hours, regulatory restrictions, and operational conditions.
3. No Investment, Legal, Tax, Accounting, Or Fiduciary Advice
Fidusor is a software and information service. Fidusor does not provide personalized investment advice, securities recommendations, legal advice, tax advice, accounting advice, financial planning advice, retirement advice, estate planning advice, or fiduciary services.
No portion of the Service, including any signal, score, watchlist, ranking, trade idea, option strategy template, alert, notification, paper trade, AI verification result, support chatbot response, help article, market commentary, portfolio analytics view, or strategy-planning interface, is intended to be or should be understood as:
- A recommendation to buy, sell, hold, hedge, exercise, roll, close, or otherwise transact in any security, option, derivative, ETF, fund, cryptocurrency, commodity, or other financial instrument.
- A statement that any investment or trading strategy is suitable for you.
- A guarantee of profitability, loss avoidance, execution quality, fill probability, tax outcome, regulatory treatment, or portfolio result.
- Fiduciary, advisory, brokerage, legal, tax, accounting, or financial planning advice.
- A substitute for your own independent analysis, professional advice, broker confirmations, exchange data, official issuer filings, or account statements.
The AI-powered support chatbot is provided for customer support and product-navigation assistance. It may help explain features, troubleshooting steps, product terminology, account workflows, plan limits, and general support topics. It must not be treated as an investment adviser, broker, tax adviser, attorney, accountant, financial planner, fiduciary, compliance officer, or substitute for qualified professional advice. The chatbot may be incomplete, inaccurate, delayed, or misunderstood, and it may not account for your full financial circumstances, risk tolerance, tax situation, investment objectives, time horizon, liquidity needs, margin status, options approval level, or applicable legal restrictions.
You are solely responsible for all investment and trading decisions, including decisions made after viewing, relying on, disregarding, or misunderstanding information provided by the Service.
4. No Broker-Dealer, Investment Adviser, Exchange, Or Custodian Relationship
Unless expressly stated in a written agreement signed by Fidusor, Fidusor is not your broker-dealer, investment adviser, introducing broker, futures commission merchant, commodity trading adviser, exchange, alternative trading system, clearing firm, custodian, trustee, tax preparer, accountant, attorney, or fiduciary.
Fidusor does not hold customer securities, cash, margin collateral, or brokerage assets. Brokerage accounts, order handling, order acceptance, order execution, clearing, settlement, custody, account approvals, options permissions, margin permissions, cash movement, statements, confirmations, tax forms, and related brokerage services are provided by external brokerages, clearing firms, custodians, exchanges, market centers, and other third parties. Fidusor does not currently provide brokerage trading.
Your brokerage relationship is governed by your agreements with your broker, clearing firm, custodian, exchange, or other financial institution. Fidusor is not responsible for their decisions, outages, restrictions, margin calls, account approvals, order rejections, execution quality, fees, commissions, tax reporting, statements, confirmations, or custody practices.
5. Investing And Options Trading Risks
Investing and options trading involve substantial risk, including partial or total loss of invested capital and, for certain strategies or transactions, losses that may exceed the amount initially invested or deposited. Certain strategies may involve theoretically unlimited losses. Different products and strategies involve different risks, and options trading is not suitable for all investors. Options may expire worthless, move rapidly in value, be illiquid, experience wide bid-ask spreads, and be affected by volatility changes.
Before trading options, you must understand the applicable risks and must obtain any required options approval from your brokerage firm. You are responsible for reviewing the Characteristics and Risks of Standardized Options, your brokerage's options disclosures, margin disclosures, trade confirmations, account agreements, and any applicable regulatory materials.
Fidusor may display options strategy templates, risk labels, estimated profits and losses, break-even values, probability-related fields, Greeks, volatility-related information, margin or buying-power estimates, and strategy descriptions. These outputs are informational estimates only and may be incomplete, delayed, stale, unavailable, or incorrect. They do not eliminate trading risk and do not determine whether a strategy is appropriate for you.
You acknowledge that:
- Market prices can change before, during, and after an order is reviewed or routed.
- Option quotes and chains can be delayed, stale, unavailable, incomplete, or wide.
- Spreads, liquidity, implied volatility, interest rates, dividends, borrow conditions, corporate actions, and market halts can materially affect option prices and strategy outcomes.
- Multi-leg strategies may not fill as a package or may be exposed to legging, partial-fill, assignment, exercise, expiration, liquidity, and margin risks.
- Short options can be assigned early, including before expiration and around dividends or corporate actions.
- Margin requirements may change without notice and may exceed estimates shown in the Service.
- Trading outside regular market hours can involve reduced liquidity, wider spreads, delayed quotes, and greater volatility.
You remain solely responsible for reviewing every order and determining whether any trade or strategy is appropriate for you.
6. Brokerage Trading Availability
Brokerage trading is not currently supported. Portfolio access is read-only by default, and Fidusor does not automatically execute trades or place orders on your behalf.
Manual order placement is planned for a future release. If introduced, it will require you to explicitly initiate and review each order before submission. Any strategy, estimate, risk summary, or planning output remains informational and is not a recommendation or guarantee.
7. Future Manual Order Placement
Any future manual order-placement feature, including a possible "Walk Limit" configuration, is not available today. If introduced, its availability, terms, and risk disclosures will be provided before users can access it.
8. Fees, Commissions, Clearing Charges, And Exchange Costs
Fidusor subscription fees are separate from and independent of any commissions, contract fees, exchange fees, clearing fees, regulatory fees, broker fees, margin interest, assignment fees, exercise fees, data fees, transfer fees, payment-processing fees, or other charges imposed by a broker, clearing firm, custodian, exchange, regulator, payment processor, bank, or other third party.
Standard clearing, exchange, regulatory, contract, assignment, exercise, and brokerage fees charged by external brokerages or market participants are not included in Fidusor subscription plans unless Fidusor expressly states otherwise in writing. Paying for a Fidusor Core, Elite, or other subscription does not waive, reduce, reimburse, cap, or replace any brokerage, clearing, regulatory, or exchange fee.
Fee estimates and planning inputs displayed in the Service are informational only and may differ from final charges shown by your broker or clearing firm. You are responsible for reviewing your brokerage records, account statement, fee schedule, and tax documents.
9. Market Data, Third-Party Data, AI Outputs, And Data Latency
The Service may display or rely on market data, option-chain data, price history, fundamentals, analyst data, earnings data, macro data, regulatory filings, smart-money data, congressional transaction data, insider transaction data, portfolio data, brokerage data, AI-generated content, search results, and other information supplied by third parties.
Third-party data may be delayed, stale, unavailable, incomplete, incorrect, mistranscribed, misclassified, or inconsistent across sources. Data providers, brokers, exchanges, AI providers, search providers, infrastructure providers, and other third parties may change, restrict, suspend, throttle, or discontinue access without notice.
Fidusor does not guarantee the accuracy, completeness, timeliness, sequence, availability, or suitability of any data, output, score, signal, summary, alert, calculation, strategy-planning result, portfolio classification, or AI-generated response. You should verify important information through independent sources before making any trading or investment decision.
10. Server Downtime, Connectivity, And Operational Availability
The Service may be unavailable, delayed, degraded, interrupted, or inaccurate due to scheduled maintenance, emergency maintenance, internet disruptions, hosting provider outages, broker outages, data provider outages, API failures, rate limits, cybersecurity events, software bugs, database issues, browser issues, device issues, market-data disconnections, exchange disruptions, high traffic, regulatory constraints, or events beyond Fidusor's reasonable control.
Fidusor is not liable for losses, missed opportunities, inability to trade, inability to cancel or modify orders, delayed alerts, stale data, failed portfolio refreshes, delayed chatbot responses, unavailable AI verification, or any other harm caused by downtime, latency, disconnection, outage, degraded service, or third-party failure.
You are responsible for maintaining independent access to your brokerage account, broker website or mobile app, account statements, trade confirmations, and any other tools necessary to monitor and manage your positions.
11. Portfolio Aggregation And Brokerage Connectivity
The Service may allow you to connect brokerage or financial accounts through secure third-party connection providers. Portfolio aggregation is intended to display account and position information for informational and workflow purposes. Connected-account data may be delayed, partial, stale, unavailable, or inconsistent with official brokerage records.
Fidusor does not guarantee that connected-account information is accurate, complete, current, or suitable for trading decisions. Your official brokerage records, confirmations, statements, tax forms, and account portal control over any information displayed in Fidusor.
You authorize Fidusor and its third-party service providers to access, process, and display connected-account information as necessary to provide the Service. You may revoke access through available product controls, your brokerage, or the applicable third-party connection portal, subject to technical and operational limitations.
12. AI Features And Support Chatbot
The Service may include AI-assisted features, including support chat, verification summaries, evidence summaries, classification explanations, position-analysis tools, or other AI-generated outputs. AI features may rely on third-party AI providers and may process user-submitted prompts, support questions, product context, knowledge-base content, related conversation history, and, when you request position analysis, limited portfolio context described in the Privacy Policy.
AI outputs may be inaccurate, incomplete, outdated, biased, misleading, or inappropriate for your circumstances. You must not rely on AI outputs as investment, legal, tax, accounting, brokerage, fiduciary, or financial planning advice.
You must not submit passwords, brokerage credentials, API keys, security codes, private keys, full account numbers, full Social Security numbers, payment card numbers, nonpublic personal financial details unrelated to your support request, health information, or other highly sensitive information into the support chatbot or any free-text field unless Fidusor expressly provides a secure method for that specific information.
Fidusor may limit chatbot usage by account status or plan tier to maintain system stability, security, and fair access.
13. Subscriptions, Plans, Billing, And Access
Fidusor may offer free access, waitlists, trials, Core, Elite, or other subscription plans. Plan names, features, limits, pricing, billing intervals, and availability may change over time. Some features may be available only to specific account types, subscription tiers, users, or jurisdictions.
Starting a trial requires providing a payment method on file, either Credit Card or ACH. You will not be charged until the end of the two-week trial period. Joining the waitlist does not by itself start a paid subscription.
Unless otherwise stated, subscription fees are charged in advance and are not brokerage fees, exchange fees, regulatory fees, clearing fees, or payment for investment advice. You are responsible for all applicable taxes and third-party charges.
Refund policy: Fidusor provides a full refund for subscription payments requested within the first two weeks after payment, no questions asked. After the first two weeks, refunds will be prorated based on the unused portion of the billing period.
Fidusor may suspend or limit access for nonpayment, chargeback, suspected fraud, account misuse, security risk, regulatory concern, or violation of these Terms.
14. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, manipulative, abusive, or deceptive activity.
- Use the Service to manipulate markets or violate securities, commodities, banking, sanctions, privacy, consumer protection, or other laws.
- Reverse engineer, decompile, copy, scrape, resell, or commercially exploit the Service except as expressly permitted.
- Interfere with, disrupt, overload, probe, scan, or test the vulnerability of the Service without written authorization.
- Attempt to bypass access controls, rate limits, subscription limits, security controls, or usage restrictions.
- Upload malware, malicious prompts, abusive content, or content that infringes rights of others.
- Submit false, misleading, or unauthorized information.
- Use automated systems to extract data or interact with the Service in a manner that exceeds ordinary human use.
- Use support chat or AI features to request regulated advice, illegal assistance, credential theft, market manipulation, or circumvention of compliance controls.
Fidusor may investigate suspected misuse and may suspend, limit, or terminate access when Fidusor believes doing so is necessary to protect users, the Service, third parties, markets, or legal compliance.
15. Intellectual Property
Fidusor and its licensors own all rights, title, and interest in and to the Service, including software, interfaces, workflows, designs, text, graphics, logos, documentation, data organization, proprietary methods, models, prompts, knowledge-base materials, trade-review workflows, and other content, except for content that you own or that third parties own.
These Terms grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes in accordance with these Terms. No rights are granted except as expressly stated.
You may not remove proprietary notices, copy substantial portions of the Service, create derivative works, or use Fidusor branding without written permission.
16. User Content And Feedback
You may submit information, messages, prompts, support inquiries, notes, preferences, watchlist entries, portfolio labels, and other content through the Service ("User Content"). You retain any rights you have in your User Content, but you grant Fidusor a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, reproduce, and use User Content as necessary to provide, secure, support, improve, and operate the Service.
If you provide feedback, suggestions, ideas, or recommendations, Fidusor may use them without restriction or compensation, provided Fidusor does not identify you publicly without permission.
You represent that you have the rights necessary to submit User Content and that your User Content does not violate law, third-party rights, or these Terms.
17. Privacy
Fidusor's collection, use, disclosure, retention, and protection of personal information are described in the Fidusor Privacy Policy. By using the Service, you acknowledge the Privacy Policy.
18. Security
Fidusor uses reasonable administrative, technical, and organizational safeguards designed to protect the Service. However, no system is completely secure. You are responsible for using strong credentials, maintaining device security, protecting your email account, and promptly reporting suspected unauthorized access.
You must not attempt to access another user's data or test Fidusor's security without written authorization.
19. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Fidusor disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, timeliness, uninterrupted operation, data integrity, trading suitability, execution quality, and error-free performance.
Fidusor does not warrant that:
- The Service will meet your needs.
- The Service will be available at any particular time or location.
- Data or AI outputs will be accurate, complete, or current.
- Any order will be accepted, routed, executed, cancelled, or modified.
- Any strategy will perform as expected.
- Any portfolio analytics or risk estimates will match actual results.
- Any defect or error will be corrected.
20. Limitation Of Liability
To the fullest extent permitted by law, Fidusor and its affiliates, officers, directors, employees, contractors, licensors, suppliers, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages, including lost profits, trading losses, investment losses, missed opportunities, loss of data, loss of goodwill, business interruption, portfolio losses, tax consequences, margin calls, liquidation losses, or inability to trade, even if advised of the possibility of such damages.
Without limiting the foregoing, Fidusor is not liable for losses or damages arising from:
- Third-party API latency, errors, outages, throttling, disconnections, data restrictions, or changed terms.
- Server downtime, infrastructure failures, database failures, network interruptions, browser issues, or device issues.
- Market-data disconnections, stale quotes, delayed option chains, missing Greeks, incomplete portfolio data, or incorrect third-party data.
- Broker, clearing firm, custodian, exchange, market maker, payment processor, AI provider, search provider, or data-provider acts or omissions.
- AI output errors, support chatbot misunderstandings, or reliance on AI-generated content.
- Your use of options strategies, margin, short options, multi-leg planning, paper trades, or any other research workflow.
To the fullest extent permitted by law, Fidusor's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Fidusor for the Service during the three months before the event giving rise to the claim; or (b) one hundred U.S. dollars.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In those jurisdictions, Fidusor's liability will be limited to the greatest extent permitted by law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, excuses fraud or willful misconduct, or states or implies that you waive a non-waivable right or remedy under federal or state securities law, consumer-protection law, or other applicable law.
21. Indemnification
You agree to defend, indemnify, and hold harmless Fidusor and its affiliates, officers, directors, employees, contractors, licensors, suppliers, service providers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your use or misuse of the Service.
- Your trading, investment, tax, legal, or financial decisions.
- Your investment and trading decisions after using the Service.
- Your violation of these Terms.
- Your violation of law or third-party rights.
- Your User Content.
- Your breach of any brokerage, exchange, data, or third-party agreement.
22. Suspension And Termination
Fidusor may suspend, restrict, or terminate your access to the Service at any time if Fidusor believes you violated these Terms, pose a risk to the Service or other users, failed to pay fees, engaged in suspicious or unlawful activity, attempted to bypass controls, or used the Service in a way that creates legal, regulatory, operational, or security risk.
You may stop using the Service at any time. Termination does not relieve you of obligations incurred before termination, including payment obligations, indemnification obligations, and responsibility for trading activity.
Sections that by their nature should survive termination will survive, including provisions regarding no advice, risk disclosures, fees, intellectual property, privacy, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
23. Changes To The Service Or Terms
Fidusor may update these Terms from time to time. If changes are material, Fidusor may provide notice through the Service, by email, or by updating the effective date, and may require renewed affirmative acceptance or electronic signature. Your continued use of the Service after updated Terms become effective constitutes acceptance only to the extent permitted by applicable law.
If you do not agree to updated Terms, you must stop using the Service.
24. Governing Law And Dispute Resolution
These Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent federal law preempts state law.
Before filing a legal claim, you agree to first contact Fidusor support and attempt to resolve the dispute informally. If the dispute cannot be resolved informally, any legal proceeding will be brought in the state or federal courts located in California, unless applicable law requires a different forum.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND FIDUSOR KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN A DISPUTE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. Each party may seek to enforce this waiver to the maximum extent permitted in the applicable forum.
To the fullest extent permitted by law, you and Fidusor waive the right to participate in a class action, private attorney general action, or representative proceeding. Claims must be brought on an individual basis. This paragraph does not prevent exercise of a right that applicable law makes non-waivable.
To the fullest extent permitted by law, a claim arising out of or relating to the Service or these Terms must be filed within one year after the claim accrued; otherwise, the claim is permanently barred. This contractual period does not apply where applicable law prohibits shortening the limitations period.
25. Electronic Communications
You consent to receive communications from Fidusor electronically throughout your relationship with Fidusor, including agreements, disclosures, policies, subscription and billing notices, legally required disclosures, security notices, and other account communications by email, in-product message, or website display. You confirm that you can access, read, download, save, and print electronic records using a current web browser, internet access, a device capable of displaying web pages and PDF files, and storage or printing capability.
You may request a paper copy at no charge or withdraw consent to future electronic records by contacting [email protected]. Withdrawal does not affect the validity of electronic records or signatures already provided. Because Fidusor is an online service, withdrawal may require account closure when electronic delivery is necessary to provide the Service. You are responsible for keeping your email address current. If hardware or software requirements materially change in a way that creates a material risk that you cannot access covered records, Fidusor will provide notice of the revised requirements and applicable withdrawal rights.
You agree that typing your legal name, drawing your signature, completing the required acknowledgments, and activating a control clearly labeled to indicate signature or agreement constitutes your electronic signature and demonstrates your intent to sign the associated record. Fidusor may retain evidence of assent, including document versions and hashes, typed name, drawn signature image, timestamps, account identifiers, IP address, browser information, request identifiers, signing method, and acknowledgment states.
26. Miscellaneous
These Terms constitute the entire agreement between you and Fidusor regarding the Service, except for any additional written terms that expressly apply. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. Fidusor's failure to enforce a provision is not a waiver. You may not assign these Terms without Fidusor's consent. Fidusor may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
